In case the foreign investment in company limited is 40% but not over than 50% of capital OR in case investment is lower than 40% of capital but (with) the foreigner is authorized signatory, all Thai shareholders must present the evidence of source of funds that shows the amount paid for shares which can be one of the following:

- Bank certifying or showing financial position of shareholder or

A :As above activities are considered as service business and they are in categories under LIST THREE in the Foreign Business Act B.E. 2542 (1999) soa foreign company who wish to run above business in Thailand has to get permission from Department of Business Development, Ministry of Commerce in order to do business legally by applying for a foreign business license under the section 17 to operate business.
However, in case if above activities get permission from BOI (Board of Investment) so they can apply for a foreign business certificate under the section 12 to operate business , in addition, some activities, such as, international school, has special Act that regulate activities so foreign company must follow that ACT in order to operate business.

การประกอบธุรกิจของคนต่างด้าว
ตามพระราชบัญญัติการประกอบธุรกิจของคนต่างด้าว พ.ศ.2542กรณีชาวต่างชาติ ไม่ว่าจะมาในรูปของบริษัทที่จดทะเบียนจากต่างประเทศ หรือบริษัทที่จดทะเบียนในประเทศไทยและมีผู้ถือหุ้นตั้งแต่กึ่งหนึ่งขึ้นไปเป็นคนต่างด้าว หากประกอบธุรกิจในบัญชีสามท้าย พ.ร.บ.ฯ จะต้องได้รับอนุญาตจากอธิบดีกรมพัฒนาธุรกิจการค้าโดยความเห็นชอบของคณะกรรมการการประกอบธุรกิจของคนต่างด้าวก่อนจึงจะประกอบธุรกิจได้ (ขอรับใบอนุญาตตามมาตรา17) กรณีต่างด้าวจ้างผู้อื่นผลิตสินค้าแล้วซื้อสินค้ามาขายเข้าข่ายบัญชีสาม (14)ค้าปลีก และ บัญชีสาม (15)ค้าส่ง กรณีให้บริการอื่น เช่น รับจ้างผลิตสินค้า ทำการตลาดให้แก่ลูกค้า ส่งเสริมการขาย เป็นต้นเข้าข่ายบัญชีสาม (21)และบริษัทจะต้องมีทุนขั้นต่ำ (ทุนตามความเป็นจริงที่ใช้ในการประกอบธุรกิจ กรณีบริษัทจดต่างประเทศ คือ เงินที่นำเข้ามาใช้ประกอบธุรกิจในประเทศไทย กรณีบริษัทจดในไทย ดูจากทุนจดทะเบียน) ไม่น้อยกว่า3,000,000บาท ต่อหนึ่งธุรกิจ

Foreign investors who wish to invest and carry out business in Thailand must first consider the provision of "Foreign Business Act 1999” (FBA 1999).

In simple terms, "foreigners” under the FBA 1999 including foreign individuals, foreign registered companies (such as representative office, branch office), companies registered in Thailand but majority shareholder owned by foreigners and partnerships managed by foreigners.
According to FBA 1999, the interior design consulting is under List 3 (21) "Other service business, except service businesses prescribed in ministerial regulations". Foreign investor who intends to engage in such business could apply to get foreign business license from the Director - General of the Department of Business Development, Ministry of Commerce, by and with the approval of the Foreign Business Committee. In addition, the minimum capital requirement for business under this Act must not be less than three million baht.

The advice from the Department of Business Development and Foreign Business Administration Bureau as follows;
Case 1:Thai Company means Thai hold the majority of shares from 51% or more.
Case 2:Foreign Company means foreigner hold the shares of larger than 49%.
In case foreigner want to set up the company with foreign shareholding ratio of larger than 49%, then the company is classified as the foreign company. Thus, you are required to concern whether your business activity is specified in the prohibit lists according to Foreign Business Act, B.E.2542 (1999) or not.
If your business activity (foreign company) is in the list ;
- List 1: To operate the business activities under list 1, the company is required to be Thai company only.
- List 2: see section 15 (Foreign Business Act, B.E.2542 (1999) about rule/regulation regarding to company’s shareholding ratio.
- List 3: The foreigner is able to hold the share up to 100%
Remark:Any foreign company who is willing to operate the business under list 2 or list 3 is required to obtain "Foreign Business License”.

1. Wholesale and Retail, it is under the supervision of Foreign Business Administration Bureau. Any foreign company (Foreign Shareholding ratio is greater than 51%) who would like to operate wholesale or retail business in Thailand is required to obtain Foreign Business License.

According to the Foreign Business Act, B.E.2542 (1999), the List 3 (14) and (15) are written:-
(14) Retail sale of goods of all types with the total minimum capital in the amount lower than one hundred million Baht or with the minimum capital of each store in the amount lower than twenty million Baht
(15) Wholesale of all types with the minimum capital of each store in the amount lower than one hundred million Baht3. In case, the company having total minimum capital in the amount greater than 100 million baht for wholesale, the company are not required to obtain FBL. If the company would like to do both retail and wholesale, the total minimum capital in the amount should greater than 200 million baht
e.g., if company has 100 Mil/bath for exempt Retailing or Wholesaling (100 Mil/Baht/each), this amount of money have to fully paid-up to registered capital and the capital can’t involve with other government agencies.
